Luxury Life Service Agreement

INTRODUCTION

Luxury Life, Inc., a corporation ("we," "us," or "our," or the "Company"), is pleased to make the Company’s luxurylife.ai dating services (collectively, its "Service(s)") available through the Company’s luxurylife.ai website, mobile application, and/or other related platforms or technologies provided now or in the future (including but not limited to through AR/VR devices, wearables, and other emerging technologies) (hereinafter collectively, the "Site(s)").

By registering for the Service, or by otherwise using any of the Services, or by clicking any "I AGREE" box, you hereby agree to be bound by the terms set forth in this End User Service Agreement, our Privacy Policy, and all other provisions and policies associated with your access and use (collectively, the "Agreement").

IF YOU CHOOSE TO ACCEPT THIS AGREEMENT BY CHECKING THE "I AGREE" BOX, OR IF YOU OTHERWISE CHOOSE TO COMPLETE THE REGISTRATION PROCESS FOR ANY OF OUR SERVICES, OR IF YOU OTHERWISE CONTINUE TO USE ANY OF OUR SERVICES, YOU HEREBY UNDERSTAND AND AGREE THAT YOU AUTOMATICALLY CONSENT TO BE BOUND BY, AND AGREE TO, ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT (AS DEFINED ABOVE), INCLUDING WITHOUT LIMITATION ALL TERMS AND CONDITIONS OF BECOMING A MEMBER (DEFINED BELOW), THE ALTERNATIVE DISPUTE RESOLUTION PROVISIONS, THE CLASS ACTION WAIVER, AND THE PRIVACY POLICY.

NO CHANGES (ADDITIONS OR DELETIONS) BY YOU TO THE AGREEMENT WILL BE ACCEPTED BY THE COMPANY.

IF YOU DO NOT WISH TO ACCEPT ALL TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT (AS DEFINED HEREIN), THEN YOU SHOULD NOT CHECK THE "I AGREE" BOX, COMPLETE THE REGISTRATION PROCESS, OR CONTINUE TO USE ANY OF OUR SERVICES.

THIS IS A BINDING CONTRACT BETWEEN YOU AND THE COMPANY, AND YOU SHOULD DOWNLOAD AND PRINT THIS AGREEMENT FOR YOUR RECORDS.

For purposes of this Agreement, after you register with the Services, you will be referred to as a "Member." You may register as a Member of the Services at no cost to access some, but not all, of the features of the Services. Additional features are available to Members through a paid subscription, as described below.

Separate from the Main Site, certain third-party websites may provide links to our Main Site ("Third Party Sites"). AS DISCUSSED BELOW IN SECTION 12, THESE THIRD-PARTY SITES ARE NOT OWNED OR OPERATED BY LUXURY LIFE, INC.

We are not responsible for the privacy policies or information practices of any of these Third Party Websites. We also are not liable for any information that you share with any Third Party Websites prior to being directed to us.

OVERVIEW

2.1 Setting Up Your Account

After you have consented to this Agreement and registered to use the Service, you can view other Member profiles, communicate with other Members, access and view our blog, and communicate with us through the Service. You need to create a Member account (“Account”) and set up a member profile to use the Service. To set up an Account, you need to:

• be at least eighteen (18) years old;
• have a valid email address;
• create a unique username and a password
• provide any other information that we may require, now or in the future, as part of setting up or maintaining your Account. You must also have a valid credit card/payment method if you choose to register for a paid subscription, which will provide you access to all the features and functions of our Service. We reserve the right to authenticate your identity to ensure compliance with the terms of this Agreement and applicable law. By creating an Account, you represent and warrant that all information you have provided is accurate and true.

2.2 Account Types

You may register to use our Service at no cost and access some, but not all, of the features of our Service. To access and use all features of the Service, you must enter into a paid subscription. You may choose different subscription periods, as described in further detail when you register. Subscription fees are subject to change and are paid in advance for the subscription term you select.

2.3 Subscription Renewal and Cancellation

Your subscription will automatically renew until you cancel it. To cancel your subscription, visit your "Settings" page after logging in or contact us directly.

2.4 Subscription Cancellation and Termination

You may cancel your subscription at any time during the subscription term by contacting us at support@luxurylife.ai. Please note that subscription fees are non-refundable under any circumstances. Failure to pay subscription fees will result in termination of the paid Service and/or your Account.

2.5 Account Security

You are solely responsible for:

• maintaining the confidentiality of your email address or phone number used to create your Account;
• ensuring all information used in connection with our Service is accurate and up to date; and
• any activity conducted through your Account, whether by you or someone else. You must immediately notify us of any unauthorized use of your Account. We reserve the right, in our sole discretion, to terminate this Agreement (including without limitation the right to terminate or suspend your Account or permanently terminate your status as a Member), including if we have reason to believe that you have provided fraudulent information in connection with your Account or activities on our Service.

2.6 Payment Methods

In addition, you authorize us to obtain updated or replacement expiration dates and card numbers for your credit or debit card as provided by your credit or debit card issuer.

PROFILE DISCLAIMER, PROFILE VISIBILITY, AND YOUR CONTENT

3.1 Accuracy of Profiles

Your profile is used to connect you with other Members of the Service and will be visible to those Members. FOR CLARIFICATION, WHEN YOU CREATE AN ACCOUNT AND USE OUR SERVICE, YOUR PROFILE WILL BE VISIBLE TO REGISTERED MEMBERS OF OUR SERVICE. AS EXPLAINED IN THE INTRODUCTION, TO MAXIMIZE YOUR CHANCES OF CONNECTING WITH SOMEONE SPECIAL, WE WILL SHARE YOUR PROFILE WITH MEMBERS WHO REGISTER. There are various features that enable you to block or restrict specific users from being able to view and/or access your profile, to offer more anonymity by hiding certain photos, and to create private photo albums.

3.2 Content Rights and Visibility

During your use of the Services, you may be able to post pictures, text, images, content, and/or other material in connection with your Member profile and use of the Services ("Content"). You understand that Content you post or share, including your username and picture, may be viewed by other Members of the Service. We, in our sole discretion, may reject or approve submitted Content. You are solely responsible for your submitted Content and shall indemnify, defend, and hold us and our employees, officers, directors, shareholders, and agents harmless for any and all losses, costs, disputes, demands, claims, and liabilities (including reasonable attorneys’ fees) arising from your Content.

USE RIGHTS

4.1 Grant of Use

You hereby grant Luxury Life a worldwide, perpetual, non-exclusive, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, prepare derivative works of, and/or display any of your submitted Content at any time during the term of, and after the termination of, this Agreement. You have no reasonable expectation of privacy when using the Service because you understand that anything you post or communicate through the Service may be seen by other Members, including Members with whom you choose to communicate directly. You have the option to make certain conversations or photo albums private so that only those Members whom you choose have access to them. You are solely responsible for all Content submitted to the Service. If you terminate your membership or delete Content from your profile, you acknowledge and agree that some Content may

• continue to be used by us as set forth in this Section and/or
• remain available, including because of cached internet pages or other uses by third parties that are beyond our control. By checking the "I Agree" box, you acknowledge that you understand and agree that we cannot and do not assume any liability for or relating to third-party use or cached content that is beyond our control.

4.2 Intellectual Property

Subject to your compliance with this Agreement, and only during the term of this Agreement, Luxury Life grants you a limited, non-exclusive, non-transferable, revocable, limited right to access and use our Service as expressly permitted herein, but for no other purposes whatsoever. We reserve all rights not expressly granted herein.

RESTRICTIONS / CODE OF CONDUCT

5.1 Prohibited Activities

You are solely responsible for your interactions with other Members of the Service, whether online or offline. Luxury Life is not responsible or liable for the conduct of any Members. Please exercise common sense and prudent judgment in your interactions with others, whether online or offline.

You agree not to do any of the following:

• Submit any direct or indirect endorsement or opinion of any product or service without disclosing any association or material connection you may have with such Content, as required by applicable regulations.
• Upload any Content for the purpose of intentionally misleading us or any other Member.
• Use the Service to engage in or solicit illegal activities, including but not limited to the promotion or facilitation of prostitution.
• Publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, obscene, indecent, or unlawful Content.
• Upload, or otherwise make available, Content protected by intellectual property laws unless you own or control the rights or have received all necessary consent to do so.
• Upload Content or files containing viruses, Trojan horses, worms, or other harmful software designed to damage the operation of the Service or another’s property.
• Download Content posted by another user of the Service that you know or reasonably should know cannot legally be reproduced, displayed, or distributed in such a manner.
• Falsify or delete any copyright management information, legal notices, or other designations of the source of Content or other material.
• Resell or commercialize Content or any feature of the Service.
• Use the Service, including Member information, for unauthorized business, marketing, advertising, or commercial purposes.
• Include in your public profile personal contact information such as phone numbers, street addresses, last names, URLs, email addresses, or sexually explicit references. Do not post or send photos containing nudity, vulgar, or offensive materials.
• Use hateful or discriminatory language based on race, color, sex, sexual orientation, religion, nationality, ethnicity, marital status, disability, age, or other objectionable grounds.
• Spam or otherwise harass Members of the Service.
• Violate any applicable laws or regulations regarding your access or use of the Service.
• Seek or offer compensation for dating activities.

5.2 Covenant Not to Misuse Member Information

Each Member further covenants, represents, and warrants to Luxury Life as follows:

• You will not use other Members' Personal Information, including financial details, for any commercial purposes, unauthorized contact, or to promote your matchmaking business.
• You will not disclose, share, or misuse another Member’s Personal Information, including sensitive data such as their sexual orientation, health, or other private information, for commercial, retaliatory, or publicity purposes.

Members acknowledge that violating any provision of these Restrictions/Code of Conduct constitutes a material breach of this Agreement and causes reputational and business damage to Luxury Life. Luxury Life reserves the right to pursue remedies available at law or equity, including immediate termination of this Agreement and the Member’s account.

5.3 Termination and Enforcement

Luxury Life reserves the right, at its sole discretion, to immediately and permanently terminate your use of the Service and your status as a Member if you violate any part of this Agreement, including the Restrictions/Code of Conduct or the Privacy Policy.

Luxury Life may investigate any unauthorized, suspicious, or illegal activities involving the Service, and take appropriate legal action. Suspected or illegal activities may also be referred to relevant authorities for investigation.

OUR PROPRIETARY RIGHTS

The Luxury Life Service, including all logos, trademarks, button icons, images, pictures, graphics, and other content used in connection with our Services (collectively referred to as "Our Content"), is protected under applicable intellectual property laws and is exclusively owned and/or controlled by Luxury Life.

UNAUTHORIZED USE, MODIFICATION, REPUBLISHING, TRANSMITTING, DISTRIBUTING, DUPLICATING, OR ANY OTHER MISUSE OF OUR CONTENT IS STRICTLY PROHIBITED.

DISCLAIMER OF WARRANTIES

YOU UNDERSTAND AND AGREE THAT THE LUXURY LIFE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NEITHER WE NOR OUR SUPPLIERS MAKE ANY REPRESENTATIONS ABOUT THE AVAILABILITY OF THE SERVICE OR THE CONTENT YOU OR OTHER USERS SUBMIT. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS.

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WE DISCLAIM, AND YOU WAIVE, ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

FURTHERMORE, TO THE EXTENT PERMITTED UNDER APPLICABLE LAWS, YOU HEREBY RELEASE LUXURY LIFE FROM ANY AND ALL CLAIMS OR LIABILITY RELATED TO ANY SERVICE OFFERED BY OTHER USERS OR ANY ACTION OR INACTION BY OTHER USERS, INCLUDING THEIR FAILURE TO COMPLY WITH THE TERMS OF THIS AGREEMENT.

WE DO NOT GUARANTEE THAT THE FUNCTIONS AND FEATURES OF THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE DISCLAIM ANY RESPONSIBILITY FOR THE DELETION, FAILURE TO STORE, MISDELIVERY, OR UNTIMELY DELIVERY OF ANY CONTENT. YOU ASSUME ALL RISK OF LOSS OR DAMAGE DUE TO YOUR USE OF THE SERVICE.

LIMITATION OF LIABILITY

YOUR USE OF THE LUXURY LIFE SERVICE IS ENTIRELY AT YOUR OWN RISK. LUXURY LIFE, ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, LICENSORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR LOSSES (INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Luxury Life, its parents, officers, directors, shareholders, and agents from any and all losses, costs, disputes, demands, claims, and liabilities (including reasonable attorneys’ fees) arising out of or incurred due to:

• your breach of this Agreement, including without limitation any violation of the “Restrictions/Code of Conduct” provisions outlined in Section 5;
• your use or misuse of the Luxury Life Service;
• your violation of any applicable law or the rights of any third party; and/or
• your interactions with other users of the Service.

TERMINATION

10.1 User-Initiated Termination

You may terminate your participation in Luxury Life at any time by discontinuing the use of the Service. Upon termination, we may delete any Content you submitted via the Service in accordance with our Privacy Policy. If you have a dispute with Luxury Life or the Service, you must immediately cease all use of the Service. Discontinuing the use of the Service is your sole remedy for any such dispute. If we terminate your subscription after the Trial Period has ended, you will not be eligible for a refund of unused subscription fees.

10.2 Company-Initiated Termination for Breach

If you breach any terms of this Agreement or the Privacy Policy, Luxury Life reserves the right to take any action permitted by law, equity, or contract, including but not limited to:

• Immediately terminate this Agreement, which includes permanently revoking your status as a Member.
• Enforcing the Restrictions/Code of Conduct outlined in Section 5, including but not limited to the Covenant Not to Misuse Other Members’ Personal Information, at its discretion and without obligation.

Notwithstanding Luxury Life's rights to use your Content after termination under Section 4.1, we are not obligated to retain or store any of your Content following termination.

Certain sections of this Agreement, due to their nature, will survive termination of this Agreement or your membership. These sections include but are not limited to:Section 3 (Profile Disclaimer, etc.), Section 4 (Use Rights), Section 5 (Restrictions/Code of Conduct), Section 6 (Proprietary Rights), Section 7 (Disclaimer of Warranties), Section 8 (Limitation of Liability), Section 9 (Indemnification), Section 10 (Termination), Section 11 (Changes), Section 12 (Privacy), and Section 17 (General)..

10.3 Notification of Termination

Any notice to Luxury Life regarding withdrawal, cancellation, or termination of your membership must be sent via email to support@luxurylife.ai. Notices related to termination or withdrawal will take effect within a reasonable time after receipt.

CHANGES TO SERVICES AND TERMS OF THE AGREEMENT

Luxury Life reserves the right to amend the terms of this Agreement at any time, including but not limited to:

• modifying, suspending, or discontinuing (in whole or in part) any feature or introducing new features related to your access and use of the Service; or
• altering the availability of features within our subscription plans (collectively, a “Change(s)”).

Luxury Life may implement these Changes by providing any form of notice deemed reasonable (including the medium and location of such notice) but reserves the right to forgo separate or individualized notice to you. We are not liable to you for any Changes, including but not limited to additions, modifications, suspensions, or discontinuations (whether partial or complete) of the Service or features related to the availability or use of Content.

Without limitation, as part of any such Changes, we reserve the right to:

• establish new policies and practices governing the use of the Service; and/or
• amend any part of this Agreement at any time, with or without prior notice.

If new features are introduced as part of these Changes and do not materially impact the Service or the terms of this Agreement, we may not update this Agreement. Such new features will still be governed by this Agreement and any specific terms accompanying those features.

11.1 Responsibility to Stay Informed

You are responsible for regularly reviewing the Luxury Life website for any Changes. By continuing to access or use the Service, you are deemed to have accepted these Changes and to be legally bound by this Agreement as updated by such Changes.

PRIVACY

12.1 Collection and Use of Information

We collect and use information about you and your interactions with the Service and Content to provide and enhance your experience on Luxury Life. For more details, please review our Privacy Policy at: https://www.luxurylife.ai/privacy-policy.

12.2 Member Responsibilities Regarding Confidentiality

We prioritize your privacy and have implemented several provisions within this Service Agreement to safeguard your personal and confidential information shared with other Members you connect with on our platform. Each Member is obligated to adhere to the confidentiality guidelines outlined in the "Restrictions/Code of Conduct" provisions in Section 5 of this Agreement.

MINORS

Use of our Service by individuals under the age of majority is strictly prohibited. Our privacy practices comply with applicable laws, and we do not knowingly request or collect personal information from anyone under the age of 18. If we discover that we have inadvertently collected information from a child under 18, we will take commercially reasonable steps to delete that information promptly. If you believe we may have collected information from a child under the age of 18, please contact us at support@luxurylife.ai.

BY REGISTERING FOR AN ACCOUNT, YOU REPRESENT THAT YOU ARE AN ADULT OVER THE AGE OF 18, HAVE THE CAPACITY TO CONSENT, AND AGREE TO BE PERSONALLY BOUND BY ALL TERMS OF THIS AGREEMENT.

ACCESSIBILITY STATEMENT

We are committed to providing an inclusive and accessible experience for all members of the Luxury Life community. We strive to align with the Web Content Accessibility Guidelines 2.0 (WCAG) and implement other measures to ensure our Service is user-friendly and accessible to individuals with disabilities. The WCAG principles aim to make website content perceivable, operable, understandable, and robust. Our team of professionals continually reviews the content of our Service in relation to WCAG’s guidelines and actively works to implement improvements. As the nature of our content evolves, the application of these guidelines may vary.

COMMUNICATIONS

By agreeing to the terms of this Agreement, you consent to receive communications sent from or on behalf of Luxury Life regarding the Service, Content, and/or your rights and obligations under this Agreement.

GENERAL

16.1 Governing Law

Regardless of where you live or from which physical location you access the Luxury Life Service, the substantive and choice of law provisions of the State of U.P., India shall apply to this Agreement and your access and use of the Service, and any action related thereto,

16.2 Non-Waiver

Our failure to exercise or enforce any right or provision of this Agreement or the Privacy Policy shall not constitute a waiver of such right or provision.

16.3 Alternative Dispute Resolution

By entering into this Agreement, you agree that if any dispute arises out of or in any way related to this Agreement and/or your use of the Luxury Life Service, any and all such disputes shall be resolved by submission to binding arbitration in Noida, U.P., India Any decision of the arbitrator may be confirmed by a court of competent jurisdiction and the ensuing judgment may thereafter be enforced in the same manner as a judgment in a civil action. The ensuing judgment may also be appealed pursuant to applicable law.

16.4 Class Action Waiver

Except as otherwise required under applicable law,

• we mutually intend and agree that neither will assert any class actions or representative actions nor will such actions or procedures apply in any arbitration pursuant to this Agreement;
• we mutually agree that neither will assert class action or representative action claims against the other in arbitration or in any other proceeding or action; and
• you shall only submit your own individual claims in arbitration and will not seek to represent the interests of any other person.

16.5 Arbitration Confidentiality

The Disputes, as well as the arbitration proceedings and award regarding such Disputes, shall be kept strictly confidential and governed by the confidentiality provisions addressed elsewhere in this Agreement.

16.6 Arbitral Jurisdiction

U.P., India law shall govern the underlying Disputes to be arbitrated.. We agree that the arbitrator, not any federal or state court judge, shall have the exclusive jurisdiction to resolve any and all disputes regarding the arbitrator's jurisdiction and the interpretation, applicability, enforceability, or formation of this binding Agreement to arbitrate, including but not limited to determining which Disputes are subject to arbitration, or any contention that all or any part of this arbitration agreement is unenforceable, voidable, or void.

DIGITAL MILLENNIUM COPYRIGHT ACT ("DMCA")

17.1 Infringement Notification

If you believe that your Content has been copied and posted on our Luxury Life Service in a way that constitutes copyright infringement, please provide our designated agent with the following information:

• Your contact information (i.e., name, email address, telephone number, and address);
• A description of the copyrighted work of concern;
• A link to the location(s) on the Service of the copyrighted work of concern;
• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• A signed statement by you, made under penalty of perjury, that the information contained in your report is accurate and that you are the copyright owner (or authorized to act on behalf of the copyright owner).

17.2 Counter-Notice

If your work has been removed due to a DMCA Notice pursuant to the foregoing procedure, and you believe that your content is not infringing, then you may send a counter-notice ("DMCA Counter-Notice") to Luxury Life (contact information above) containing the following information:

• Identification of the Content that has been removed or to which access has been disabled and the location at which the Content appeared before it was removed or disabled;
• A statement that you have a good faith belief that the content was removed or disabled as a result of a mistake or misidentification of the Content;
• Your contact information (i.e., name, email address, telephone number, and address), a statement that you consent to the jurisdiction of the District Court of Gautam Buddha Nagar, U.P., India, and a statement that you will accept service of process from the person who provided notification of the alleged infringement;
• Your physical or electronic signature.

If a DMCA Counter-Notice is received by Luxury Life, we may send a copy of the DMCA Counter-Notice to the original complaining party informing them that we may replace the removed Content or cease disabling it after a reasonable time period. Unless the alleged copyright owner files an action seeking a court order against the content provider, member, or user, the removed content may be replaced, or access to it restored, in a reasonable time period after receipt of the DMCA Counter-Notice, at our sole discretion.

MEMBER’S AGREEMENT

BY CHECKING THE "I AGREE" BOX, I CONFIRM THAT I HAVE READ AND UNDERSTOOD THIS AGREEMENT AND THAT I CONSENT TO ITS TERMS AND CONDITIONS.

BY CHECKING THE "I AGREE" BOX, I REPRESENT AND WARRANT THAT I HAVE THE AUTHORITY AND CAPACITY TO ENTER INTO THIS AGREEMENT, THAT I DO SO OF MY OWN FREE CHOICE, AND THAT I WILL ABIDE BY ALL THE TERMS AND CONDITIONS IN THIS AGREEMENT, INCLUDING THE PRIVACY POLICY, WHICH MAY BE MODIFIED FROM TIME TO TIME.
